ARBITRATION NOTICE: These Terms contain an arbitration clause. By agreeing to these Terms, you agree that disputes will be resolved by binding arbitration, and you waive your right to participate in class actions or jury trials.
SELF-CUSTODY NOTICE: NELEX is a self-custody wallet. You are solely responsible for maintaining the security of your private keys and recovery phrase. We do not have access to your keys or the ability to recover your funds if you lose access.
1. Agreement to Terms
Nebeus Labs LTD ("NELEX", "Company", "we", "us", or "our") provides self-custody cryptocurrency wallet software, including browser extensions, mobile applications, and related services (collectively, the "Services").
Nebeus Labs LTD is a company registered in England and Wales under company number 14448389, with its registered office at 60 Cannon St, London EC4N 6NP, United Kingdom.
By accessing or using our Services, you agree to be bound by these Terms of Use ("Terms" or "Agreement"). If you do not agree to these Terms, you must not use our Services.
These Terms incorporate our Privacy Policy (available at our privacy policy page), which describes how we collect and use information.
2. Eligibility
By using our Services, you represent and warrant that:
2.1. You are at least 18 years of age or the age of legal majority in your jurisdiction.
2.2. You have the legal capacity to enter into binding agreements.
2.3. If using the Services on behalf of an organization, you have authority to bind that organization to these Terms.
2.4. You are not subject to economic sanctions or designated on any prohibited or restricted party list, including lists maintained by: United Nations Security Council, United States Government (including OFAC SDN List, Commerce Department Entity List), European Union or its Member States, United Kingdom Government, Any other applicable government authority.
2.5. You are not located in, under the control of, or a national or resident of any country subject to comprehensive sanctions, including but not limited to: Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, or Luhansk regions.
3. Description of Services
3.1 Self-Custody Wallet
NELEX provides software that enables you to: Generate and manage cryptocurrency wallet addresses, Self-custody digital assets, View balances and transaction history, Sign and broadcast transactions to blockchain networks, Interact with decentralized applications ("dApps"), Exchange digital assets through third-party services.
3.2 Self-Custody Model
NELEX is not a custodian. We do not: Hold, control, or have access to your digital assets, Store your private keys or recovery phrases, Have the ability to execute transactions on your behalf, Have the ability to reverse, cancel, or modify transactions, Have the ability to recover your wallet if you lose access.
You are solely responsible for: Maintaining the security of your private keys and recovery phrase, All transactions initiated from your wallet, Backing up your recovery phrase securely, Understanding the risks of digital asset transactions.
3.3 Blockchain Networks
Our Services facilitate interaction with decentralized blockchain networks. We do not own, control, or operate these networks. Blockchain transactions are: Irreversible once confirmed, Subject to network fees ("gas fees"), Publicly visible on the blockchain, Outside our control once broadcast.
4. Third-Party Services
4.1 Integration with Third Parties
Our Services may integrate with or provide access to third-party services, including: Decentralized exchanges and swap aggregators, Cross-chain bridges, Price data providers, Blockchain node infrastructure, Decentralized applications.
4.2 Third-Party Terms
Your use of third-party services is subject to those third parties' terms and conditions. We are not responsible for: The availability, accuracy, or reliability of third-party services, Any losses arising from your use of third-party services, The terms, privacy practices, or conduct of third parties, Any fees charged by third parties.
4.3 No Endorsement
Integration with or display of third-party services does not constitute our endorsement or recommendation of such services.
5. Fees
5.1 Network Fees
Blockchain transactions require network fees ("gas fees") paid to network validators. These fees are: Not charged by or paid to NELEX, Variable based on network conditions, Non-refundable once a transaction is broadcast.
5.2 Service Fees
We may charge fees for certain Services, such as token swaps or cross-chain transactions. Any applicable fees will be clearly displayed before you confirm a transaction.
5.3 Third-Party Fees
Third-party services integrated with our Services may charge their own fees. We do not control these fees.
6. Acceptable Use
6.1 Permitted Use
You may use our Services only for lawful purposes in accordance with these Terms.
6.2 Prohibited Conduct
You agree not to:
- Use the Services for any illegal purpose or in violation of any applicable laws or regulations
- Use the Services to transmit, exchange, or store proceeds of criminal activity, including money laundering, terrorist financing, or tax evasion
- Use the Services to evade sanctions or trade with prohibited parties
- Attempt to gain unauthorized access to our systems or other users' wallets
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services, except as permitted by law
- Use automated systems (bots, scrapers, etc.) to access the Services without our permission
- Circumvent any security measures or access controls
- Impersonate any person or entity, or falsely represent your affiliation
- Use the Services in any manner that could damage, disable, or impair the Services
7. Intellectual Property
7.1 Our Intellectual Property
The Services, including all software, content, designs, logos, trademarks, and other materials, are owned by or licensed to NELEX and are protected by intellectual property laws.
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. This license does not include the right to: Modify or create derivative works of the Services, Distribute, publicly display, or publicly perform the Services, Sublicense or transfer the license to any third party.
7.3 Feedback
If you provide feedback, suggestions, or ideas about our Services, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.
8. Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the practices described in our Privacy Policy.
9. Security
9.1 Your Responsibilities
You are solely responsible for: Securing your device and wallet credentials, Maintaining the confidentiality of your private keys and recovery phrase, Verifying transaction details before signing, Using appropriate security measures (strong passwords, device encryption, etc.).
9.2 Recovery Phrase
Your recovery phrase is the only way to recover your wallet if you lose access. We strongly recommend: Writing it down on paper and storing it securely, Never storing it digitally or in cloud services, Never sharing it with anyone, including NELEX support, Creating multiple secure backups.
WARNING: If you lose your recovery phrase and lose access to your wallet, your funds will be permanently lost. We cannot recover your wallet or funds.
9.3 Phishing and Scams
We will never: Ask for your private keys or recovery phrase, Contact you through unsolicited messages asking for sensitive information, Request remote access to your device.
Be cautious of phishing attempts and verify you are using official NELEX software.
10. Disclaimers
10.1 "AS IS" Basis
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
10.2 No Guarantee
We do not guarantee that: The Services will be uninterrupted, timely, secure, or error-free, The results obtained from using the Services will be accurate or reliable, Any errors in the Services will be corrected, The Services will meet your requirements.
10.3 Blockchain Risks
You acknowledge and accept the inherent risks of blockchain technology, including but not limited to: Volatility of digital asset prices, Irreversibility of transactions, Regulatory uncertainty, Technical vulnerabilities (smart contract bugs, network attacks), Network congestion and high fees, Forks and protocol changes.
10.4 Investment Disclaimer
Nothing in our Services constitutes financial, investment, legal, or tax advice. We do not recommend any particular digital assets or investment strategies. You should consult qualified professionals before making investment decisions.
10.5 Risk Disclosures
By using our Services, you acknowledge understanding of the following risks:
10.5.1. Digital Asset Risks: Digital asset prices are highly volatile and may lose significant value, Digital assets are not legal tender and are not backed by any government, Past performance does not guarantee future results.
10.5.2. Technology Risks: Blockchain networks may experience technical failures, attacks, or forks, Smart contracts may contain bugs or vulnerabilities, Software may have undiscovered security flaws.
10.5.3. Regulatory Risks: Regulations governing digital assets are evolving and uncertain, Regulatory changes may adversely affect the value or legality of digital assets, You are responsible for compliance with applicable laws in your jurisdiction.
10.5.4. Operational Risks: Loss of private keys or recovery phrase results in permanent loss of funds, Errors in transaction details cannot be reversed, Third-party services may fail or become unavailable.
10.5.5. No Insurance: Digital assets held in self-custody wallets are generally not insured by government deposit protection schemes, We do not provide insurance for digital assets in your wallet.
11. Limitation of Liability
11.1 Exclusion of Damages
To the maximum extent permitted by law, Nebeus Labs LTD and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: Loss of profits, revenue, or data, Loss of digital assets, Business interruption, Cost of substitute services. Whether based on warranty, contract, tort, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
11.2 Complete Liability Exclusion
To the maximum extent permitted by law, we have no liability whatsoever for any claims arising from or related to these terms or the services.
11.3 Essential Purpose
The limitations in this section apply even if any remedy fails of its essential purpose.
11.4 Jurisdictional Variations
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nebeus Labs LTD and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Any transactions you conduct using the Services
- Your negligence or misconduct
13. Dispute Resolution
13.1 Informal Resolution
Before initiating formal dispute resolution, you agree to contact us at support@nelex.com to attempt to resolve any dispute informally. We will attempt to resolve disputes within 30 days.
13.2 Arbitration Agreement
If informal resolution fails, any dispute arising from these Terms or the Services shall be resolved by binding arbitration administered by a recognized arbitration body in London, United Kingdom, in accordance with its rules.
13.3 Arbitration Procedures
Arbitration shall be conducted in English, The arbitrator's decision shall be final and binding, Judgment on the arbitration award may be entered in any court of competent jurisdiction, Each party shall bear its own costs, with arbitration fees split equally.
13.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class actions or class-wide arbitration.
13.5 Exceptions
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
15. Changes to Terms
We may modify these Terms at any time. If we make material changes, we will notify you by: Posting the updated Terms on our website, Displaying a notice in the Services, Other reasonable means.
Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to modified Terms, you must stop using the Services.
16. Termination
16.1 Termination by You
You may stop using the Services at any time.
16.2 Termination by Us
We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice.
16.3 Effect of Termination
Upon termination: Your license to use the Services ends immediately, You remain responsible for any pending transactions, Provisions that by their nature should survive will survive (including disclaimers, limitations of liability, and dispute resolution).
16.4 Your Digital Assets
Termination does not affect your ability to access your digital assets using your private keys or recovery phrase through other means.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nebeus Labs LTD regarding the Services.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
17.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
17.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
17.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
17.6 Force Majeure
We shall not be liable for any failure or delay resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party services or infrastructure.
